What's in the Statement of Information?

The State of California Secretary of State Statement of Information lists and verifies certain facts about an individual business:

  • The registered name of the business
  • The street address and mailing address of the business
  • The Secretary of State File Number of the business (7 or 12 digits)
  • The name and address of the CEO
  • The name and address of the other officers (corporations) or managers/members (LLCs)
  • The name and address of the director (applies only to Stock and Agricultural Cooperative Corporations)
  • The name and address of the California Agent for Service of Process
  • A brief description of the nature of the business

The Statement must be signed and dated at the bottom.

There are actually two separate types of Statements. The one you should fill out depends on the legal structure your Ventura County business operates under:

  • Corporations use Form SI-550
  • LLCs use Form LLC-12

When to File Your Ventura County Statement of Information

Your first Ventura County Statement of Information is due 90 days after the formation of your business. You must also send in a Statement on an annual or biennial basis. Corporations must file a Statement of Information annually; LLCs must file every other year

In every year your Statement is due, you have a six-month period in which you can file it. This period is calculated according to the month you registered your business with the California Secretary of State. You can file your Ventura County Statement of Information on any day of this month, or on any day of the preceding five months.

Here’s an example: If you registered your Ventura County business entity in October, your annual or biennial Secretary of State California Statement of Information will be due at any time from May 1 through October 31. (Note that this does not apply to the very first Statement of Information, which is always due within 90 days of registration.)

Who Must File?

Corporations and LLCs in California are required to file a CA Secretary of State Statement of Information. This applies to in-state as well as foreign business entities active here. The requirement also extends to agricultural cooperatives in California. 

A business cannot file its Statement of Information unless it has active or suspended/forfeited status with the California Secretary of State.

A business is expected to file a new Statement of Information as soon as any relevant data has been altered (such as a change in the mailing address). If no changes have been made since the last filing, businesses can send in a statement affirming this. For this purpose, corporations use Form SI-550 NC, while LLCs use Form LLC-12NC.
