What’s in a Statement of Information?

When you first form a business, you are required to file Articles of Incorporation. A Statement of Information expands on this information.

It also keeps the Secretary of State updated with changes that happen from year to year based on decisions made by key players in your company, like the board of directors.

The information required on a Statement of Information form varies slightly based on whether your business is an LLC or a corporation. In general, you’ll need to provide the following:

  • The name of your LLC or corporation
  • The Secretary of State entity number
  • Physical address of the principal executive office
  • Mailing address, if different from principal office
  • The names and addresses of officers and directors (corporations)
  • The names and addresses of managers and members, if applicable (LLCs)
  • The name and address of the LLC’s Chief Executive Officer, if appointed
  • General statement of the business and services of the company
  • Name and address of the Agent for Service of Process

The person who fills out the Statement of Information must also sign and date it at the bottom.

When to File a Statement of Information in Riverside

Your business is required to file an initial Statement of Information within 90 days of the formation of the entity. Afterward, the filing schedule depends on the type of business structure you have and when your business was first registered.

  • Corporations – Annually
  • Registered Foreign Corporations – Annually
  • Agricultural Cooperatives – Annually
  • Nonprofits – Biennially (every 2 years)
  • LLCs – Biennially (every 2 years)

The California Secretary of State gives you a six-month filing window, which includes the entire month in which you originally registered your business and the preceding 5 months.

For example, let’s say you first registered your corporation on November 15, 2022. Since corporations are required to file every year, your next Statement of Information will be due by November 2023, and you can file anytime between June 1 and November 30.

What Happens If I Don’t File a Statement of Information?

Not filing a Statement of Information on time can have serious consequences for your business. You could be fined, and your business could even be dissolved, effectively shutting down your operations.

The state usually sends a reminder before your Statement of Information is due, but you shouldn’t rely on this. It’s your responsibility as the business owner to know when to file. Get help if you need it.
